PARTNERSHIP AGREEMENT
This Agreement ("Agreement") is made between EbonyStays and Travel Agency ("TA")

Whereas:
1. Ebonystays is a hospitality company that manages villa properties for guest stays.

2. TA company that provides bookings for hospitality services.

3. Both parties are interested in engaging in a mutual business relationship under the terms set forth in this Agreement.

NOW, THEREFORE, in consideration of the promises and mutual covenants contained herein, the parties
agree as follows:

1. Scope of Services
• TA shall provide confirmed bookings for the properties managed by Ebonystays.
• Bookings must be made after confirming the availability of dates with Ebonystays.

2. Booking Amount
• Ebonystays requires a 50% booking amount at the time of booking. This payment is mandatory for
reserving any villa or property.
• The remaining amount to be cleared 72 Hours prior to check-in.
• In case of Booking within 72 Hours , Full Payment to ebony stays should be done immediately and it
will be non-refundable and non-transferable to any other booking

3. Cancellation Policy

i.Standard Cancellations: Guests may cancel their reservation if the cancellation request is submitted no less than thirty (30) business days before the scheduled check-in date.

ii. Peak Season & Promotional Bookings: For reservations made during peak seasons, public holidays, long weekends, or under special promotional offers, a minimum of forty-five (45) business days advance notice is required to be eligible for a refund. The applicable cancellation window will be communicated at the time of booking.

iii. Ebony Stays – Official Blackout Dates Calendar:
Applicable across all partnered properties unless specified otherwise.
Note: During the below blackout periods, Ebony Stays reserves the right to apply special pricing, suspend discount codes, restrict loyalty redemptions, and modify cancellation policies due to high demand and limited inventory.

• Blackout dates may vary by region or property based on local festivals and occupancy trends.
• For group bookings, buyouts, and corporate reservations during blackout periods, custom pricing applies.
• These dates are non-flexible for offers, deals, or promotional discounts.
• Ebony Green Key Membership privileges may be partially restricted on these dates. Notes

iv. Ebonystays Refund voucher: Kindly note – to prevent any cancellation charges you can opt for the Ebonystays voucher (which would be 100% as your booking amount) which you can use in near future for your upcoming bookings with Ebonystays. This voucher will be generated under the guest name and can be used by anyone traveling from his/her family (after showing a valid ID proof and sharing the relationship proof) This voucher would be valid for a lifetime.

– Please note – Full Refunds are not applicable once a booking is confirmed. A significant portion of the booking amount is retained by the property owner as per their policy and is non-refundable to Ebony Stays. Any MONETARY refund shall be issued after clear communication with the guest over WhatsApp text messages, calls and written emails, a portion of the booking amount would be retained by the villa owner and therefore only a partial refund would be eligible. The eligible refund amount will be processed to the original payment method/payment method shared by the guest within 27-30 business days.

Full Refunds will only be issued depending on case to case basis and after clear written communication over WhatsApp messages, Calls and written emails. The same would apply for partial bookings too. Refunds will be adjusted for any acquisition costs (such as agent fees, commissions, or platform fees) already incurred for the booking. Service costs (if any) initially charged at the time of booking will not be included in the refund amount.

Refund Policy Post Check-in: Ebony Stays maintains a strict no-refund policy once a guest has successfully checked into the property. By confirming a booking, the guest acknowledges and agrees that no monetary refund shall be provided after check-in, regardless of the reason for early check-out, dissatisfaction, or personal circumstances, unless otherwise mandated by applicable law or explicitly agreed to in writing by Ebony Stays. This policy is applicable across all properties listed and operated under the Ebony Stays brand.

Ebonystays is not responsible to pay for any extra services or demands raised/opted by the guest after their check-in in the property. The guest is solely liable to pay the difference and any requests wont be entertained by Ebonystays.

4. Guest Details
• TA must provide all necessary details of the guests at the time of booking. This includes the full names
of all guests, their contact information, check-in and check-out dates, and any additional requests or
requirements, as specified by Ebonystays.

5. Exclusivity and Representation
• TA is prohibited from selling or representing any other properties under the name of Ebonystays
without prior written consent from Ebonystays. If TA is found selling or representing other properties
falsely under Ebonystays' name, legal action will be taken against TA for breach of contract and
fraudulent misrepresentation.

6. Confirmation of Dates
• It is the responsibility of TA to ensure that all booking dates are confirmed with Ebonystays before
taking any payment or making a booking commitment. Ebonystays will not be liable for any bookings made without prior confirmation of availability.

7. Termination Clause
Either party may terminate this Agreement by providing a minimum of seven (7) days’ prior written notice to the other party. Notwithstanding such termination, the Villa Owner shall be obligated to honor and fulfill all guest bookings confirmed prior to the effective date of termination, in accordance with the terms of this Agreement. Ebony Stays shall likewise ensure the settlement of any dues or obligations arising from such bookings.

8. Governing Law
• This Agreement shall be governed by and construed in accordance with the laws of India. Any disputes
arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of
Ahmedabad, Gujarat.

9. Confidentiality
• Both parties agree to maintain the confidentiality of this Agreement and any business, financial, or
proprietary information exchanged during the course of their relationship, except where disclosure is
required by law.

10. Entire Agreement
• This Agreement constitutes the entire understanding between the parties with respect to the subject
matter hereof and supersedes all prior agreements, understandings, or discussions.
IN WITNESS WHERE OF, the parties hereto have executed this Agreement as of the date of filling this form.

Any matter or dispute arising out, will be subjected to the jurisdiction of court in Ahmedabad, Gujarat.
