PARTNERSHIP AGREEMENT TERMEBONYSTAYS STUDIO PRIVATE LIMITED (commonly known as “Ebony Stays”), incorporated in India under the Companies Act, 2013 with CIN: U55101GJ2024PTC157234, bearing the GST no. 24AAICE5484D1ZO offers curated vacation villas, boutique homestays, farm retreats, and nature-connected getaways across India under the brand name “Ebony Stays”This Agreement shall commence on signing date and shall remain in effect until 36 MONTHS unless terminated earlier in accordance with the terms set forth herein.Exclusivity of Listing and BrandingThe Villa Owner agrees that the property shall be exclusively listed on the official website of Ebony Stays (www.ebonystays.com) and shall be marketed solely under the Ebony Stays brand name.Business to Business RatesThe Villa Owner agrees to provide Ebony Stays with exclusive rates for the property (“Ebony Villa Rates”) that are equal to or lower than the rates listed on any Online Travel Agency (OTA) platforms for the same property and stay conditions. In the event that a lower rate is found on any OTA for the same stay period and conditions, the Villa Owner agrees to match or reduce the Ebony Villa Rate accordingly.Owner’s Personal BookingsThe Villa Owner reserves the right to take personal bookings for the property at their discretion. However, in order to maintain service consistency and quality, all such bookings shall be routed through the standard Ebony Stays booking process. Ebony Stays will not charge any commission on such owner-diverted bookings. Instead, a nominal service fee shall apply as follows: • INR 1,500 per booking from the Guest, and • INR 1000 per booking from the Villa Owner For these bookings, guests will be handed over to the Ebony Stays team, which will deliver the full guest experience on behalf of the Villa Owner, ensuring the Owner is free from any operational involvement or service-related responsibilities.Property Maintenance and Services The Villa Owner shall be responsible for ensuring that the property is well-maintained and that guests are provided with satisfactory services. Any inconvenience caused to guests due to maintenance issues will be the sole responsibility of the Villa Owner. Services Provided by Ebony StaysEbony Stays shall offer the following support and brand services to the Villa Owner: • Listing Optimization & Management • Channel Manager Integration • Chargeable Online Staff Training (upon request) • Access to Ebony Stays’ guest network and social media audience • Collaboration opportunities through brand partnerships • SEO-driven content creation and promotion • Secure payment gateway solutions • Use of the Ebony Stays brand identity, ensuring trust and confidence in the marketBooking Confirmation clauseAll guest bookings shall be confirmed only upon prior written or verbal confirmation of availability from the Villa Owner. Ebony Stays shall not proceed with accepting or confirming any booking without the explicit consent of the Villa Owner for the requested dates. The Villa Owner agrees to provide timely and accurate updates regarding the availability of the property to avoid conflicts or double bookings.Ebony Stays does not guarantee any minimum number of bookings, as we do not charge any commission or fee from the villa owners for generating bookings. Therefore, we shall not be held liable for the absence of bookingsSecurity Deposit Please note that the security deposit is collected from guests and handled by Ebonystays. In the event of any damages or mishaps caused by the guests, the required amount will be disbursed directly to the villa owner by Ebonystays.Payment PolicyEbony Stays shall remit payments to the Villa Owner in the following manner: • 10% of the total booking amount shall be transferred to the Villa Owner upon successful confirmation of the booking and receipt of payment from the guest. • The remaining 90% of the total booking amount shall be transferred to the Villa Owner no later than twenty-four (24) hours prior to the guest’s scheduled check-in date, provided the booking remains active and uncancelled. All payments shall be made net of Ebony Stays’ applicable service charges, taxes, and agreed deductions. In case of a cancellation, refund, or date modification, the cancellation policy defined by the Villa Owner and communicated to Ebony Stays in writing shall apply, and any refund to the guest and corresponding settlement with the Villa Owner shall be processed in accordance with that policy.Mishaps and Refunds In the event of any mishap or unfavorable conditions leading to the refund of the booking amount, the Villa Owner and Ebony Stays shall mutually decide on the appropriate course of action and settlement.Termination ClauseEither party may terminate this Agreement by providing a minimum of seven (7) days’ prior written notice to the other party. Notwithstanding such termination, the Villa Owner shall be obligated to honor and fulfill all guest bookings confirmed prior to the effective date of termination, in accordance with the terms of this Agreement. Ebony Stays shall likewise ensure the settlement of any dues or obligations arising from such bookings.Dispute Resolution Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiations between the Parties. If a resolution cannot be reached, the Parties agree to submit the dispute to mediation or arbitration in accordance with the laws of India.Confidentiality Both Parties agree to keep all information related to this partnership confidential and not to disclose it to any third party without the prior written consent of the other Party.Limitation of LiabilityEbony Stays acts solely as a service provider for property marketing, guest management, and hospitality facilitation. The company shall not be held liable for any direct or indirect loss, damage, injury, incident, or mishap occurring at the property, whether caused by natural events, third parties, guests, or unforeseen circumstances.Property Access for Marketing and OperationsThe Villa Owner agrees to grant Ebony Stays access to the property for a maximum of six (6) nights per calendar year, strictly on weekdays. These nights shall be used for purposes including but not limited to: • Professional photoshoots • Influencer marketing stays • Staff training and upskilling • Property audits and operational assessments The specific dates for such access shall be mutually decided by both Parties with a minimum of seven (7) days’ prior written notice.JurisdictionThis Agreement shall be governed by and construed in accordance with the laws of India.
